Policy on Legal and Regulatory Compliance and Corporate Ethics

  • 1. Legal and Regulatory Compliance and Corporate Ethics

    Executive officers, employees and all those working for East Japan Railway Company and its Group companies (JR East) shall comply with the laws and regulations of Japan, and of other countries as business activities globalize, with actions that are based on following the rules, highly ethical standards, and respect for human rights and cultural diversity.

  • 2. Earning Respect with Safety

    Executive officers, employees and all those working for JR East shall satisfy and earn the respect of customers by fulfilling the Group's eternal mission of developing and providing society with safe and publicly useful products and services.

  • 3. Sound Business Relationships

    Executive officers, employees and all those working for JR East shall conduct business that is proper, fair, transparent and based on free competition, while maintaining a sound and rational relationship with elected officials and branches of the government.

    Moreover, executive officers, employees and all those working for JR East shall refrain from using the Group's assets, or their official jobs and status for that matter, for personal gain.

  • 4. Proper Management and Fair Disclosure of Information

    Executive officers, employees and all those working for JR East shall strive to communicate with shareholders and society at large, while disclosing information in a fair and constructive manner.

    Moreover, executive officers, employees and all those working for JR East shall be held accountable for managing all manner of personal, confidential and other information appropriately.

  • 5. Environmental Conservation

    Executive officers, employees and all those working for JR East shall base their actions constructively on the recognition that solving environmental issues of common interest to humanity is important to the Group's existence and business activities.

  • 6. Respect for Human Rights

    Executive officers, employees and all those working for JR East shall respect the diversity, character and personality of individuals, while ensuring safe and productive workplaces, in order to realize a positive and enriching culture.

    Executive officers, employees and all those working for JR East shall hold an expansive perspective, while endeavoring to build a corporate culture in pursuit of the Group's unlimited potential.

  • 7. Severance of Relations With Antisocial Forces

    Executive officers, employees and all those working for JR East shall resolutely oppose organized crime and other antisocial forces that threaten public order and the security of civil society.

  • 8. Service to Society

    Executive officers, employees and all those working for JR East shall wholeheartedly give back to society as a corporate group responsible for social infrastructure and a good corporate citizen.

  • 9. Rigorous Adherence to the Intent and Purpose of This Policy (Management Stance)

    Recognizing their role in fulfilling the intent and purpose of this Policy, top management shall lead by example and strive to ensure rigorous adherence to this Policy internally and at Group companies, while making them known to suppliers and other business partners. Furthermore, top management shall constantly monitor feedback from internal and external stakeholders, while striving to implement effective internal systems.

  • 10. Problem Resolution (Management Stance)

    If a situation that contravenes this Policy should occur, top management shall take it upon themselves to solve the problem, and shall endeavor to investigate the cause and prevent a recurrence. Furthermore, top management shall fulfill their accountability to society by publicly disclosing information in a timely and proper manner. After clarifying authority and responsibility, top management shall deal with the situation resolutely, including addressing their own roles and responsibility.

Basic Policy to Prevent Bribery of Foreign Public Officials, etc.

  • 1. Legal and Regulatory Compliance

    Executive officers, employees and all those working for East Japan Railway Company and its Group companies (JR East) shall comply with the Unfair Competition Prevention Act of Japan, Foreign Corrupt Practices Act of the U.S., and Bribery Act 2010 of the U.K., as well as the anticorruption laws and regulations of other countries (collectively designated herein as "Anticorruption Laws and Regulations").

  • 2. Prohibition of Bribery

    No executive officers, employees or any of those working for JR East shall give, offer or promise to give, any Pecuniary or Other Benefits to Foreign Public Officials, etc. , directly or indirectly, in order to obtain or retain business or an improper business advantage to JR East in the conduct of business.

  • 3. Recording and Retention of Business Transaction Details

    Executive officers, employees and all those working for JR East shall engage in lawful and proper business activities overseas, and maintain and properly keep accurate records such as transaction details, aims, etc., for each of these business activities.

  • 4. Reporting and Risk Management

    Executive officers, employees and all those working for JR East shall promptly report to the relevant section within JR East when incidents are suspected to be in violation of Anticorruption Laws and Regulations, and of this Basic Policy.

Definitions
"Foreign Public Officials, etc." refers to:
  • · Any person holding a legislative, administrative or judicial office of a foreign country
  • · Any person exercising a public function for a foreign country, such as an employee or associate of a public organization of that foreign country
  • · Any person exercising a public function for a foreign country, such as an employee of a public enterprise of that foreign country
  • · Any official or agent of a public international organization

"Pecuniary or Other Benefits" refers to all gains and advantages not limited to money, marketable securities, gifts, donations, travels and other preferential treatments, including so-called "facilitation payments" (payments aimed at facilitating and expediting formal administrative procedures) which are in violation of Anticorruption Laws and Regulations and the regulations set by JR East.
